TERMS OF USE AGREEMENT FOR BIDHITS AND OTHER CONDITIONS By creating an account, starting a free trial, purchasing a subscription, using the website www.bidhits.in, using the API, receiving e-mail alerts, or accepting these terms through customer support, the business, company, professional or authorized representative requesting access, hereinafter called "USER", agrees to this Agreement and to the Privacy Policy available on BIDHITS. BIDHITS is a public procurement search service operated by PORTAL GENIAL SERVICOS EM TECNOLOGIA DA INFORMACAO LTDA, a company based in Brazil, enrolled with CNPJ 06.098.898/0001-69, with address at Rua Jose Formighieri, 399, room 402, Videira, Santa Catarina, Brazil, hereinafter called "BIDHITS". This Agreement is intended only for companies, business users, professionals and persons acting for commercial or professional purposes. It is not intended for personal, family or household use. CLAUSE ONE: DEFINITIONS 1.1. ACCESS PORTAL: all features and resources made available by BIDHITS for the USER to access the services, including the website, logged area, e-mail alerts, search tools, filters, maps, comments, favorites, artificial intelligence features, API and any other integration or automated communication channel. 1.2. FREE TRIAL: temporary access to the ACCESS PORTAL without charge, for the period and conditions displayed at registration or in the applicable commercial campaign. The usual free trial period may be 14 days, unless another period is expressly informed. 1.3. SUBSCRIPTION: paid access to the ACCESS PORTAL for the contracted period, according to the plan, price, currency and payment method chosen by the USER. 1.4. CONTENT: procurement, tender and bidding information made available through the ACCESS PORTAL, including information indexed from public sources, official portals, documents, links, summaries, filters, comments, alerts and related data. 1.5. ACCESS INFRASTRUCTURE: computer, mobile device, internet connection, browser, software, hardware, API environment, security tools and any other resource needed by the USER to use the service. 1.6. REGISTRATION DATA: identification, business, billing, contact and access data provided by the USER. 1.7. API KEY: credential that allows programmatic access to the services when the API is available and contracted or authorized. 1.8. AI FEATURES: tools using artificial intelligence or automated processing to improve searches, suggest opportunities, summarize information, answer questions or assist the USER in understanding procurement information. CLAUSE TWO: OBJECT 2.1. This Agreement regulates the access and use, by the USER, of the CONTENT and services made available by BIDHITS through the ACCESS PORTAL. 2.2. BIDHITS is a search, organization and alert tool for public procurement opportunities. BIDHITS does not represent any public authority, does not conduct procurement procedures, does not prepare bids for the USER and does not guarantee that the USER will participate in or win any tender. 2.3. BIDHITS may provide links to official portals, tender pages or documents. The official source and the original tender documents must always be checked by the USER before any decision, submission, bid, contract, investment or legal act. CLAUSE THREE: REGISTRATION 3.1. Access to BIDHITS may occur through a FREE TRIAL, a SUBSCRIPTION, or conversion of a FREE TRIAL into a SUBSCRIPTION. 3.2. The USER declares that all REGISTRATION DATA is true, complete, updated and lawful. 3.3. If the USER acts on behalf of a company or another legal entity, the USER declares that he or she has authority to accept this Agreement and bind that company or entity. 3.4. BIDHITS may request confirmation of REGISTRATION DATA at any time and may refuse, suspend or cancel access when data is false, incomplete, irregular, abusive, fraudulent or inconsistent with the business purpose of the service. 3.5. The USER is responsible for keeping login, password and API KEY confidential. Any act performed through the USER account may be considered performed by the USER. CLAUSE FOUR: FREE TRIAL 4.1. The Agreement is considered accepted when the USER completes registration, starts using the FREE TRIAL, clicks acceptance, or otherwise agrees to these terms. 4.2. The FREE TRIAL is a courtesy granted by BIDHITS and may be limited, changed, extended, refused, suspended or discontinued at BIDHITS' discretion, subject to applicable law. 4.3. BIDHITS may contact the USER to confirm REGISTRATION DATA and business purpose. 4.4. If there is divergence, irregularity, abuse, excessive use, simultaneous access, automation not authorized, fraud suspicion or violation of this Agreement, BIDHITS may block access to the ACCESS PORTAL. 4.5. THE FREE TRIAL DOES NOT CREATE ANY AUTOMATIC SUBSCRIPTION OR AUTOMATIC PAYMENT OBLIGATION. AFTER THE FREE TRIAL EXPIRES, NO AUTOMATIC PAID SUBSCRIPTION WILL BE CREATED UNLESS THE USER EXPRESSLY CHOOSES A PAID PLAN AND PAYMENT METHOD. CLAUSE FIVE: SUBSCRIPTION 5.1. During or after the FREE TRIAL, the USER may choose a SUBSCRIPTION plan available on the ACCESS PORTAL. 5.2. The SUBSCRIPTION starts only after payment approval, compensation of funds, payment risk analysis or other confirmation by the payment provider, unless BIDHITS grants early access as a courtesy. 5.3. The USER may choose among the plans, periods, prices, currencies and payment methods available at the time of purchase. 5.4. All plans may have the same service benefits and differ by billing period, price, currency, discount or commercial condition, as displayed on the subscription page. 5.5. If the SUBSCRIPTION expires, is cancelled, is not paid, or is terminated, access to CONTENT may be blocked or limited until a new SUBSCRIPTION is contracted and paid. 5.6. BIDHITS may grant courtesy days, promotional periods, discounts or early access without changing the other conditions of this Agreement. 5.7. The USER is solely responsible for correct REGISTRATION DATA, correct e-mail address, password security, API KEY security and internal control of account use. 5.8. Relevant communications may be sent by e-mail to the address registered by the USER. The USER must keep the e-mail address updated and ensure that BIDHITS messages are received. BIDHITS is not responsible for losses caused by incorrect e-mail, spam filters, full inbox, internal forwarding failures or other communication failures outside BIDHITS' control. 5.9. BIDHITS may block, suspend or terminate access, without refund, in case of breach of this Agreement, abusive use, fraud, payment dispute, unauthorized sharing, simultaneous use not authorized, attack, attempted invasion, scraping, unauthorized automation or use that harms BIDHITS, its systems, customers, providers or partners. 5.10. The USER may authorize the receipt of commercial communications from BIDHITS or its partners. The USER may unsubscribe from promotional messages through the available link or by contacting support. 5.11. Near the end of the contracted period, BIDHITS may send renewal offers or reminders to avoid interruption of the service. 5.12. Renewal is not mandatory, except when the USER has expressly activated automatic renewal, when available. CLAUSE SIX: USER OBLIGATIONS AND RESPONSIBILITIES 6.1. The USER must provide, maintain and pay for all ACCESS INFRASTRUCTURE needed to use BIDHITS. 6.2. The USER must check all information obtained through BIDHITS, including deadlines, documents, requirements, addenda, clarifications, official updates, eligibility rules, technical requirements and legal conditions of each tender. 6.3. The USER is solely responsible for participation in any tender, including qualification, documents, price, proposal, bid, guarantee, compliance with procurement law, communication with public authorities and performance of any awarded contract. 6.4. The USER must keep password, login and API KEY secure and must immediately inform BIDHITS of any suspected unauthorized access. 6.5. The USER must not use BIDHITS for illegal activities, fraud, corruption, bribery, collusion, cyberattacks, unauthorized access, malware, spam, violation of third-party rights or violation of procurement rules. 6.6. The USER agrees to use BIDHITS only within the normal purpose of the service and within the limits defined by BIDHITS. The following practices are prohibited: 6.6.1. Reverse engineering, decoding, decompiling, extracting, copying or exploiting code, scripts, database structure, business logic, algorithms or any technical component of BIDHITS. 6.6.2. Massive scraping, crawling, bulk extraction, automated search or attempts to collect all tenders from a period, region, source or database without specific authorization. 6.6.3. Redistributing, reselling, publishing or sharing CONTENT obtained through BIDHITS in another portal, database, platform, service, marketplace, competitor or similar business. 6.6.4. Publishing tender information obtained through BIDHITS without indicating BIDHITS as the source when such publication is authorized. 6.6.5. Changing, distorting or manipulating information obtained through BIDHITS to mislead third parties, harm BIDHITS, harm public authorities or distort procurement information. 6.6.6. Sharing login, password, account or API KEY with third parties, or allowing simultaneous use by more than one person, except when a specific multi-user license is contracted. 6.6.7. Attempting to access restricted areas, bypass controls, avoid security measures, perform denial-of-service attacks, test vulnerabilities without authorization, or compromise the integrity, availability or security of the service. 6.6.8. Using bots, scripts, crawlers, automated tools or integrations not expressly authorized by BIDHITS, except within the official API conditions. 6.6.9. Exceeding API request limits, search limits, usage limits, fair use limits or technical limits established by BIDHITS. 6.6.10. Using the service to create, train, enrich or improve a competing tender database, search engine or procurement intelligence platform. 6.7. Any attempt to harm BIDHITS' systems, infrastructure, providers, customers or partners may lead to immediate suspension, termination, indemnification claims and communication to competent authorities. 6.8. The USER is responsible for ensuring that employees, contractors, representatives and authorized users comply with this Agreement. CLAUSE SEVEN: SERVICE, CONTENT AND LIMITATION OF LIABILITY 7.1. BIDHITS will make reasonable efforts to provide the CONTENT during the active SUBSCRIPTION period, except in cases of maintenance, technical failure, internet failure, third-party service interruption, force majeure, security measures, public source unavailability or events outside BIDHITS' reasonable control. 7.2. BIDHITS does not guarantee uninterrupted, error-free, complete, updated or always available access. Digital services depend on internet providers, telecom services, public portals, hosting, payment providers, e-mail providers and other third parties. 7.3. BIDHITS is a search and filtering tool. Although BIDHITS updates its database and expands sources, the service may contain errors, omissions, delays, duplicates, unavailable links, wrong classifications, incomplete data or outdated information. 7.4. BIDHITS is not responsible for any tender not indexed, any document not found, any official change not detected, any deadline missed by the USER, any wrong interpretation of a tender notice, or any decision made by the USER based on the CONTENT. 7.5. BIDHITS does not guarantee that the USER will find, qualify for, participate in, win or profit from any procurement opportunity. 7.6. BIDHITS may add, remove, change, suspend or replace sources, features, tools, filters, AI FEATURES, map views, comments, favorites, alerts, API endpoints, plans, prices and technical rules, without this being considered breach of contract. 7.7. BIDHITS may perform maintenance, security updates and technical changes that may temporarily affect access. 7.8. No rights are granted to the USER beyond limited, temporary, non-exclusive, non-transferable access to the ACCESS PORTAL during the valid FREE TRIAL or SUBSCRIPTION. 7.9. To the maximum extent permitted by applicable law, BIDHITS will not be liable for indirect damages, loss of profit, loss of chance, loss of business, loss of data, loss of opportunity, damage to reputation, fines, penalties, costs of tender participation or any consequence of decisions made by the USER. 7.10. When liability cannot be excluded under mandatory law, BIDHITS' total liability shall be limited to the amount effectively paid by the USER to BIDHITS for the active SUBSCRIPTION period related to the event that caused the claim. CLAUSE EIGHT: ARTIFICIAL INTELLIGENCE FEATURES 8.1. BIDHITS may use AI FEATURES to improve searches, understand the USER's business interests, suggest opportunities, summarize tender information, answer questions, assist with documents and support use of the ACCESS PORTAL. 8.2. AI FEATURES are auxiliary tools only. They do not replace official tender documents, official portals, legal advice, technical analysis, accounting advice, tax advice, engineering analysis or professional judgment. 8.3. AI answers may be incomplete, outdated, imprecise, inaccurate or based on limited information. The USER must always verify information in official sources before making any decision. 8.4. BIDHITS does not guarantee the legal, technical, commercial, financial or strategic accuracy of AI outputs. 8.5. The USER is solely responsible for reviewing, validating and deciding whether to use any AI output. 8.6. The USER must not insert sensitive personal data, confidential business information, trade secrets, third-party data without authorization, passwords, API keys, bank details, classified documents or information that cannot be processed by BIDHITS or its technology providers. 8.7. The USER must not present AI outputs as official information issued by public authorities or as final advice approved by BIDHITS, unless expressly confirmed in writing by BIDHITS. 8.8. BIDHITS may change, limit, suspend or discontinue AI FEATURES at any time for technical, legal, security, commercial or compliance reasons. CLAUSE NINE: THIRD-PARTY LIABILITY AND INDEMNITY 9.1. The USER shall indemnify and hold BIDHITS, its partners, officers, employees, contractors and providers harmless from any claim, loss, damage, fine, penalty, cost, expense or attorney fee arising from: 9.1.1. breach of this Agreement; 9.1.2. misuse of the ACCESS PORTAL; 9.1.3. use of login, password or API KEY by the USER or third parties with access to the USER account; 9.1.4. participation or attempted participation in any tender; 9.1.5. violation of procurement rules, anti-corruption rules, tax rules, data protection rules, intellectual property rights or third-party rights; 9.1.6. data, documents, comments, prompts, instructions or content inserted by the USER into BIDHITS or AI FEATURES; 9.1.7. unauthorized sharing, resale, publication or redistribution of CONTENT. 9.2. BIDHITS is not responsible for websites, portals, documents, payment providers, public bodies, external links, third-party services, procurement systems or content not controlled by BIDHITS. CLAUSE TEN: PAYMENT AND PENALTIES 10.1. As payment for use of the contracted CONTENT and services, the USER shall pay BIDHITS the price of the selected SUBSCRIPTION plan. 10.2. Prices, currencies, taxes, payment methods, plan periods and billing conditions are displayed at the time of purchase or in the commercial proposal accepted by the USER. 10.3. The USER shall pay the amounts due through the payment methods made available by BIDHITS, which may include card, bank transfer, online payment gateway, UPI or other methods, when available. 10.4. Taxes, levies, bank fees, exchange costs, withholding taxes or government charges applicable to the transaction are the responsibility of the USER, unless the payment page or invoice expressly states otherwise. Any withholding required by law shall not reduce the net amount due to BIDHITS, unless prohibited by mandatory law. 10.5. At BIDHITS' discretion, access of defaulting USERS may be immediately suspended, blocked or limited until full payment and regularization. 10.6. If the USER remains in default after collection attempts, BIDHITS may use collection measures allowed by law, hire collection companies, charge costs of recovery and seek judicial or extrajudicial measures. 10.7. BIDHITS may change, remove or add payment methods, SUBSCRIPTION plans, currencies, prices and due dates at any time. Changes do not affect a period already paid, except when required by law, taxes, fraud prevention, exchange restrictions or payment provider rules. 10.8. To update prices affected by inflation, the contracted amount may be adjusted. 10.8.1. The ordinary adjustment period shall be once every 12 months. 10.8.2. If accumulated inflation exceeds 25% before the 12-month period, BIDHITS may anticipate the price adjustment. 10.8.3. For amounts contracted in Indian Rupees or for plans directed to the Indian market, the adjustment shall use the Consumer Price Index (CPI), or the official equivalent or replacement index used in India, accumulated in the period, when positive. 10.8.4. For payments in currencies other than Indian Rupees, the adjustment shall use the CPI or equivalent official consumer price index corresponding to the currency or economic area of the contracted plan, accumulated in the period, when positive. 10.8.5. For amounts contracted in Brazilian Reais, the adjustment shall use the IGP-M index or any official replacement index, accumulated in the period, when positive. 10.9. When available, the USER may store a payment card for future payments. 10.9.1. BIDHITS does not store the full original card number. Payment card storage, when available, is made by tokenization or similar secure technology provided by the payment processor. 10.9.2. The USER may request deletion of the tokenized card from the ACCESS PORTAL or through support, subject to technical and legal retention requirements. 10.10. When available, the USER may activate automatic renewal. 10.10.1. If automatic renewal is activated, BIDHITS or its payment provider may process payment at the renewal date using the tokenized payment method. 10.10.2. If payment cannot be processed, the USER may use another available payment method to keep the SUBSCRIPTION active. 10.10.3. The USER may cancel automatic renewal at any time before the renewal date through the available channel. CLAUSE ELEVEN: TERM, CANCELLATION AND REFUND 11.1. This Agreement starts when the USER accepts it, creates an account, starts the FREE TRIAL, uses the service or purchases a SUBSCRIPTION. 11.2. The FREE TRIAL ends at the end of the trial period or earlier if access is blocked due to irregularity, abuse, fraud, technical issue, legal reason or violation of this Agreement. 11.3. The SUBSCRIPTION ends at the end of the paid period, unless renewed, cancelled or terminated earlier according to this Agreement. 11.4. As a commercial courtesy, the USER may cancel a new paid SUBSCRIPTION within 7 days counted from the day after purchase and request refund of the amount paid for that SUBSCRIPTION, except when the law or payment provider rules require a different procedure. 11.5. After this period, if the USER cancels the SUBSCRIPTION without breach by BIDHITS, BIDHITS may refund the proportional amount corresponding to the unused paid period, excluding bonuses, free days, discounts, taxes, bank fees, payment gateway fees, chargeback costs and non-refundable costs, where allowed by law. 11.6. In case of termination due to breach of this Agreement, fraud, abuse, chargeback, unauthorized sharing, security attack, scraping, illegal use or damage to BIDHITS, no refund shall be due, without prejudice to other rights of BIDHITS, except where mandatory law provides otherwise. 11.7. Refunds shall be made, whenever possible, through the same payment method used in the purchase. If this is not possible, the USER must provide valid bank or payment information in the same business name or legal name used for registration. 11.8. The maximum operational period for refund processing by BIDHITS shall be 30 business days after confirmation of the cancellation request and receipt of all information needed for refund. The final credit date may depend on banks, card issuers, payment gateways or other financial providers. 11.9. Bonus periods, courtesy days and free trial days shall not be considered for proportional refund calculation. CLAUSE TWELVE: DATA PROTECTION AND CONFIDENTIALITY 12.1. The processing of personal data by BIDHITS is governed by the Privacy Policy available on the website. 12.2. The USER agrees that BIDHITS may process REGISTRATION DATA, usage data, searches, filters, alerts, comments, favorites, API logs, AI interactions and payment data as needed to provide the service, protect the system, comply with law, prevent fraud, send alerts, provide support and improve the service, according to the Privacy Policy. 12.3. If the USER provides personal data of employees, representatives, contractors, customers or third parties, the USER declares that it has lawful authority to do so and is responsible for providing required notices and obtaining required permissions under applicable data protection law. 12.4. The USER must not insert sensitive data, confidential data, trade secrets or third-party data into comments, support messages, search fields, AI prompts or other tools unless the USER is legally authorized to do so and accepts the related risks. 12.5. BIDHITS may use providers located in Brazil, India or other countries to operate the service, subject to applicable data protection rules and the Privacy Policy. CLAUSE THIRTEEN: INTELLECTUAL PROPERTY 13.1. BIDHITS, the ACCESS PORTAL, technology, databases, layout, design, software, algorithms, AI workflows, trademarks, trade names, documentation, API structure and business methods belong to BIDHITS or its licensors. 13.2. The USER receives only a limited, temporary, revocable, non-exclusive and non-transferable right to access the service during the valid FREE TRIAL or SUBSCRIPTION. 13.3. The USER may not copy, reproduce, license, sell, rent, distribute, publish, create derivative works, reverse engineer or exploit BIDHITS technology or CONTENT outside the limits of this Agreement. CLAUSE FOURTEEN: CHANGES TO THE SERVICE AND AGREEMENT 14.1. BIDHITS may modify technical, operational or commercial aspects of the service at any time. 14.2. BIDHITS may change this Agreement by giving notice through the website, e-mail or another appropriate channel. 14.3. When relevant changes are made, BIDHITS will try to notify the USER at least 7 days before the change becomes effective. 14.4. If the USER does not agree with the change, the USER may cancel the SUBSCRIPTION before the effective date. Continued use after the effective date means acceptance of the updated Agreement. 14.5. Changes required by law, security, fraud prevention, public authority order, payment provider rule, urgent technical need or protection of the service may take effect immediately. CLAUSE FIFTEEN: GENERAL PROVISIONS 15.1. The USER may not assign or transfer rights or obligations under this Agreement without prior written authorization from BIDHITS. 15.2. BIDHITS may assign or transfer this Agreement in case of corporate restructuring, merger, acquisition, sale of assets, change of business structure or transfer of the service. 15.3. Tolerance by either party regarding breach of this Agreement shall not be considered waiver, amendment or loss of rights. 15.4. If any clause is considered invalid or unenforceable, the remaining clauses shall remain valid. The invalid clause shall be replaced by a valid provision that best reflects the original economic and legal purpose. 15.5. This Agreement, together with the Privacy Policy, payment page, plan conditions and any accepted commercial proposal, represents the entire agreement between BIDHITS and the USER regarding the service. 15.6. This Agreement is governed primarily by the laws of India for matters related to the offer and use of the service in India, including, where applicable, contract, electronic contracting, information technology and data protection rules. 15.7. Because BIDHITS is operated by a company based in Brazil, Brazilian law may also apply to corporate, tax, accounting, procedural, enforcement and internal operational matters of BIDHITS. 15.8. The parties elect the courts of the District of Videira, State of Santa Catarina, Brazil, as the exclusive forum to resolve disputes arising from this Agreement, to the maximum extent permitted by mandatory law. The parties agree that court procedure shall follow the applicable procedural rules of Brazil. 15.9. The forum clause does not prevent BIDHITS from taking urgent or protective measures in any competent jurisdiction to protect its systems, intellectual property, confidential information, unpaid amounts, infrastructure, providers, customers or legal rights. 15.10. Notices may be sent by e-mail, website notice, logged-area message, support ticket or other contact channel provided by the USER. 15.11. The English version is the main version of this Agreement for BIDHITS in India. Last update: 29/04/2026.
